OCI / NNS / Orascom — competing value paths under court scrutiny

OCI's minority shareholders face several value paths: NNS Holding's cash offer, the proposed combination with Orascom Construction and alternatives considered by the board, including a solvent wind-down. The economic outcomes of those paths depend on market conditions, tax, execution, timing and distribution mechanics and are therefore not directly comparable on headline value alone.
The control environment has now tightened. OCI says Value8 has petitioned the Amsterdam Enterprise Chamber for an inquiry and interim measures, including an order preventing OCI from submitting the Orascom transaction to shareholders or implementing it while proceedings continue. No such relief has been granted. OCI describes the petition as meritless; that is the company's position, not a court finding.
Why this matters
A live Dutch transaction now combines contested process with materially different economic paths. The core question is which route is economically superior once tax, execution risk, timing and distribution mechanics are weighed — and which is most defensible if challenged.
